Please read these Terms and Conditions ("Terms") carefully before using the Memo Push mobile application and website (the "Service"), operated by Memo Push ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
By creating an account or using any part of the Service, you confirm that you are at least 13 years of age (or 16 in the EEA/UK), that you have read and understood these Terms, and that you agree to be bound by them. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
Memo Push is a geofence-based reminder application that sends push notifications when a user's device exits a user-defined geographic boundary ("Geofence"). The Service allows users to create Geofences, build checklists, link checklists to Geofences, and receive location-triggered reminders.
The Service is provided on a freemium basis. Core features are available free of charge. Premium features may be offered under a separate subscription plan subject to additional terms.
To access certain features, you must create an account by providing a valid email address, display name, and password. You agree to provide accurate, current, and complete information and to keep it updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at hello@memopush.app if you suspect any unauthorised use of your account.
You may delete your account at any time through the app's Settings screen. We reserve the right to suspend or terminate accounts that violate these Terms.
You agree not to use the Service to:
Memo Push requires background location access to monitor Geofences. By granting "Always Allow" location permission (iOS) or equivalent background location access (Android), you authorise the Service to access your device's GPS at all times solely for the purpose of detecting Geofence entry and exit events. This permission is used exclusively for delivering reminders and is not used for advertising or shared with third parties except as described in our Privacy Policy.
You may revoke location permissions at any time via your device settings, which will prevent Geofence monitoring from functioning.
Geofence-triggered notifications are generated entirely on your device. We do not guarantee that notifications will be delivered in all circumstances, as delivery depends on device settings, operating system behaviour, battery optimisation modes, and network conditions. Memo Push shall not be liable for missed reminders or any consequences thereof.
The Service and its original content (excluding user-generated content), features, and functionality are and will remain the exclusive property of Memo Push and its licensors. The Memo Push name, logo, and all related marks are trademarks of Memo Push. You may not use them without our prior written consent.
You retain ownership of any content you create within the Service (geofence names, checklist content). By using the Service, you grant us a limited, non-exclusive, royalty-free licence to use, store, and process that content solely to provide the Service to you.
If premium subscription plans are made available, the following terms apply:
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
MEMO PUSH DOES NOT GUARANTEE THAT NOTIFICATIONS WILL BE DELIVERED OR THAT THE APP WILL PREVENT YOU FROM FORGETTING ITEMS. YOU USE THE SERVICE AT YOUR OWN RISK.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEMO PUSH, ITS DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $50.
You agree to indemnify, defend, and hold harmless Memo Push and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of another person or entity.
The Service may integrate with third-party services (e.g., mapping providers, cloud infrastructure). Your use of those services is subject to their respective terms of service and privacy policies. We are not responsible for the content or practices of any third-party service.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
We may revise these Terms from time to time. We will post the updated Terms on this page with a new "Last updated" date. For material changes, we will provide notice via the app or by email. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If that fails, disputes shall be resolved through binding arbitration or the courts of competent jurisdiction, depending on your location and applicable law.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Memo Push regarding the Service and supersede any prior agreements between us.
